The transaction was finalized on March 13, 2009. Research firm Frost & Sullivan has estimated that the digital asset management market alone will reach $632 million in revenues in 2009, reflecting an anticipated compound average growth rate (CAGR) of 26 percent as the market continues to mature. ViewCast’s acquisition of Ancept combines two best-of-breed technologies in one of the markets still expanding today, creating a larger company with potential for an increased rate of future growth. The combination will provide participants in the digital media marketplace with an integrated provider and one-stop solution for all their video management needs. The closing transaction was accomplished for a combination of $1.038 million in cash payments, issuance of 1,141,314 of restricted shares of ViewCast common stock and the assumption of $355,000 of deferred revenue liability, subject to final purchase price adjustments. ViewCast expects to close the Ancept transaction by March 13, 2009. ViewCast will maintain the operations for the Ancept products in Bloomington, MN, and other locations. Under terms of the asset purchase agreement, ViewCast will purchase the Ancept assets, including all of its operating assets, fixed assets, contracts, customer lists and intellectual property for a combination of $1.17 million in cash payments, issuance of $400,000 of restricted ViewCast common stock, and the assumption of certain liabilities as outlined in the terms of the agreement and subject to final purchase price adjustments. ViewCast’s purchase of the Ancept assets remains subject to the agreement’s terms and conditions and there can be no assurance that the transaction will be consummated on the present terms. In addition to the consideration described above, if within two years of closing a volume OEM or VAR agreement for an Ancept product is entered into with either one of two specified entities, ViewCast will issue $100,000 of restricted ViewCast common stock. ViewCast has also agreed for each of the first and second twelve month periods after the close, if net revenue relating sole to the earn-out business exceeds $2 million, ViewCast will make an earn-out payment equal to 5% of the net revenue in excess of $2 million.
Warrant Exercise
H. T. Ardinger, a principal shareholder of ViewCast, and the Ardinger Family Partnership, Ltd. agreed on February 27, 2009 to exercise an outstanding warrant to purchase 2,500,000 shares of ViewCast common stock at an amended exercise price of $0.376 per share on or before March 5, 2009. It is anticipated that the proceeds of $940,000 from the warrant exercise will be utilized for the Ancept asset acquisition.
The common stock offered to Ancept and the warrant and the warrant shares acquired by the Ardinger Family Partnership have not been registered under the Securities Act or state securities laws and may not be offered or sold in the United States absent registration with the Securities and Exchange Commission or an applicable exemption from the registration requirements.

As the Panama Canal Authority (Autoridad del Canal de Panama or ACP) proceeds with its $5.25 billion, seven-year canal expansion project, solutions from ViewCast Corporation (OTCBB:VCST) will play an important role in historical documentation and public information. The ACP has chosen ViewCast’s Niagara® 7224 video encoding system to enable Web streaming of a wide variety of live and on-demand programming related to the expansion project, and to provide training for the ACP’s 9,000-plus employees.
“Technology has come a long way since the building of the original canal, when we were only left with still photography and a small amount of film footage to document the event,” said Edwin Reina, chief information officer for the ACP. “Thanks to the advanced streaming technology provided by ViewCast, we’ll be able to deliver a wealth of content to our Web site to keep the public updated on the progress of the project, and to ensure that this monumental and historical event is recorded for posterity.”
The ACP is a longtime user of ViewCast products. For a number of years, the organization has used ViewCast Osprey®-100 video capture cards to capture webcam images of vessels traveling through the Canal’s three sets of locks. Still in use, the system provides updated images to the ACP Web site every 10 seconds.
Now, the ACP has implemented the ViewCast Niagara 7224 video encoding solution to deliver educational programming on the progress of the expansion project to the Canal Web site, including streaming live video from multiple construction sites. Since the Niagara 7224 provides eight separate channels, Canal personnel will also be able to use the system for a variety of other streaming applications, such as webcast training programs for ACP employees working throughout the Isthmus of Panama. The system will also be used for webcasting presentations from the ACP CEO, and to stream a television program providing weekly information updates on the Panama Canal to the ACP Web site.

Examples of markets that will benefit from this encoder include state and local governments for streaming of open meetings or remote viewing of multiple traffic and weather cameras; security, military, and law enforcement agencies for remote viewing of multiple surveillance cameras; and content delivery networks for more efficient broadcast of multiple music and radio programs.
The Niagara 8224 system accepts component, composite or Y/C (S-Video) analog video inputs for up to eight channels, and balanced and unbalanced stereo audio inputs. Each channel can be configured independently to deliver multiple streams in multiple viewing formats and multiple bit rates, and each stream can be individually sized, scaled, and customized with bitmap overlays (e.g. logos and graphics) and other features such as closed-caption pre-rendering. Encoding and streaming formats delivered by the Niagara 8224 include Windows Media®, RealVideo®, H.263, H.264, MPEG-4 Part 2, Adobe® Flash® capture-to-file, 3GPP/3GPP2 container format and uncompressed AVI capture-to-file.
Niagara 8224 systems come standard with two of ViewCast’s most versatile control and management software applications, Niagara SCX® Pro and SimulStream®, both pre-configured and ready to use.
The Niagara 8224 will make its debut at the upcoming IBC2008 show in Amsterdam, September 12 through 16. In addition, IBC2008 will mark the first time ViewCast will demonstrate its new Niagara GoStream® SURF portable streaming appliance to a European audience. Powered by ViewCast’s renowned Osprey® video capture technology, the GoStream SURF allows users to broadcast to the Web in multiple full-resolution streams in multiple formats and multiple bit rates — all simultaneously. The SURF’s combination of power and portability gives users the flexibility to stream content from a controlled studio environment or an off-site location.
